4. Orders, Purchase Orders, and Manufacturing Services
These Terms govern use of the website. They do not replace any separate written quote, purchase order, order acknowledgment, supply agreement, nondisclosure agreement, invoice terms, quality requirements, or other written business terms agreed to by PDI and a customer.
Manufacturing services, tooling, engineering support, inspection requirements, pricing, lead times, payment terms, shipping terms, warranties, and remedies are governed by the applicable written business documents between the parties.
If there is a conflict between these website Terms and a separate written agreement signed or expressly accepted by PDI, the separate written agreement will control for that specific business relationship.
5. Customer Drawings, Files, and Project Materials
If you submit drawings, CAD files, models, specifications, samples, part requirements, or other project materials, you represent that you have the right to submit those materials to PDI.
You retain ownership of the materials you submit. By submitting materials to PDI, you grant PDI a limited right to review, evaluate, store, copy, use, and share those materials internally and with appropriate service providers or project partners for the purpose of responding to your inquiry, preparing a quote, evaluating manufacturability, providing services, or supporting an active business relationship.
You are responsible for ensuring that submitted drawings, models, specifications, and requirements are accurate, complete, lawful, and suitable for the intended use.
6. Confidentiality and Sensitive Information
Submission of information through the website does not, by itself, create a nondisclosure agreement, confidential relationship, partnership, agency relationship, or manufacturing commitment.
